Notification pursuant to s198 Companies Act 1985 ("the Act")13/05/2004 Jarvis plc has today received notification that following a purchase by Dresdner Kleinwort Wasserstein Securities Limited (“DrKWSL”) of 17,900,000 ordinary shares on 12th May 2004, Allianz AG and its subsidiaries have a notifiable interest in 18,079,374 shares of the Company (representing 12.667% of the issued capital). Within this amount DrKWSL are interested in 17,932,380 shares (12.564%). These shares are to be registered in the name of DrKWS Nominees Limited. Dresdner Kleinwort Wasserstein Group Limited (“DrKWG”) is the holding company of DrKWS. DrKWG is a wholly owned subsidiary of Dresdner Investments (UK) Limited ("Dresdner Investments"), a direct subsidiary of Zenon Beteiligungs GmbH ("Zenon"), a direct subsidiary of Dresdner. Dresdner is a direct subsidiary of Allianz Finanzbeteiligungs GmbH (“Allianz Finanz”), which is itself a direct subsidiary of Allianz AG. As a result of s203(2) of the Act, Allianz AG, Allianz Finanz, Dresdner, Dresdner Investments, Zenon and DrKWG are deemed to be interested in those shares in which DrKWS is interested. The Company understands that the 17,900,000 Jarvis ordinary shares acquired on 12th May 2004 were acquired to hedge a derivative over the counter contract entered into by DrKWSL and DrKWSL has no economic exposure to movements in the Company's share price in respect of those shares. |
